1. INTRODUCTION

Welcome to the Medevice Africa Equipnet Platform ("Platform"). These Terms and Conditions ("Terms") govern your access to and use of our Platform and services ("Services") provided by Medevice Africa ("we," "us," or "our"). The Platform is a digital ecosystem designed to assist healthcare providers, including hospitals, clinics, and biomedical engineers, with the management, procurement, and maintenance of medical equipment.

By registering for, accessing, or using the Platform, you, on behalf of yourself and the entity you represent ("User" or "you"), agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Medevice Africa.

Please read these Terms carefully. If you do not agree with these Terms, you must not access or use the Platform.

2. DEFINITIONS

• "Account" means the account created by a User to access the Services.
• "Content" means all information, data, text, software, graphics, images, and other materials submitted, posted, or displayed by Users on the Platform.
• "Services" means the features and functionalities provided by the Platform, including but not limited to equipment inventory management, automated service requests, and procurement facilitation.
• "User" means any individual or entity (e.g., hospital, clinic, biomedical engineer) that registers for and uses the Platform.

3. USER ACCOUNTS AND RESPONSIBILITIES

• Registration: To use the Services, you must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account. We are not liable for any loss or damage arising from your failure to comply with this security obligation.
• User Conduct: You are solely responsible for your conduct and your Content on the Platform. You agree to use the Platform in compliance with all applicable laws and regulations, including the laws of the Republic of Kenya.

4. ACCEPTABLE USE OF THE PLATFORM

You agree not to:

• Use the Platform for any illegal or unauthorized purpose.
• Decompile, reverse engineer, or otherwise attempt to discover the source code of the Platform.
• Upload any Content that infringes upon any third party's intellectual property rights, including copyrights, patents, trademarks, or trade secrets.
• Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
• Interfere with or disrupt the integrity or performance of the Platform or the data contained therein.

5. INTELLECTUAL PROPERTY RIGHTS

• Our IP: Medevice Africa and its licensors retain all right, title, and interest in and to the Platform and the Services, including all related intellectual property rights. The Medevice Africa name, logo, and the product names associated with the Service are trademarks of Medevice Africa or third parties, and no right or license is granted to use them.
• User Content: You retain all ownership rights to your Content. However, by submitting Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Service and our business, including for promoting and redistributing part or all of the Service.

6. DATA PRIVACY AND CONFIDENTIALITY

• Privacy: Our collection and use of personal information in connection with your access to and use of the Platform is described in our Privacy Policy, which is incorporated by reference into these Terms.
• Confidentiality: You agree to maintain the confidentiality of any proprietary information received from us during your use of the Platform.

7. DISCLAIMER OF WARRANTIES

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MEDEVICE AFRICA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDEVICE AFRICA, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Medevice Africa and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

10. TERMINATION

We may, in our sole discretion, suspend or terminate your Account and access to the Services at any time, with or without cause, and with or without notice. Upon termination, you continue to be bound by the sections of these Terms that by their nature should survive termination.

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Nairobi, Kenya, in English, in accordance with the Arbitration Act of Kenya.

12. AMENDMENTS TO TERMS

We reserve the right to modify these Terms at any time. We will provide notice of such changes by posting the revised Terms on the Platform. Your continued use of the Platform after such changes have been posted will constitute your acceptance of the new Terms.
